MCA extends holding of AGM and EGM through Video conference or Other Audio Visual Means till 30th September, 2023

✓ Ministry of Corporate Affairs (MCA) through General Circular No. 10/2022 dated 28th December, 2022, allowes companies to conduct Annual Geneal Meeting (AGM) virtually through Video Conlerence or Other Audio Visual Means (OAVM) on or belore 30th September, 2023 in accordance with framework provided by MCA in General Circular No. 20/2020 dated 05.05.2020.

✓ It is also clarified that this circular shall not be construed as any extension of time for holding AGM. In case where, companies do not adhere to relevant timelines shall be liable to legal action under thel relevant provisions of the Companies Act, 2013.

✓ Further, MCA through General Circular No. 11/2022 dated 28th December, 2022, allows companies to conduct Extraordinary Geneal Meeting (AGM) virtually through Video Conlerence or Other Audio Visual Means (OAVM) on or belore 30th September, 2023.

NSE Update: Filing of Equity announcements and Financial Results to be made available on the NEAPS platform.

✓ With reference to the NSE Circulars dated February 17, 2022, and dated July 08, 2022 and to bring all the filings under one single portal, NSE vide Circular dated December 15, 2022, has mandated that the filings for the Equity Announcements and Financial Results will be made available only on NEAPS (NSE Electronic Application Processing System) portal with effect from December 17, 2022.

✓ Henceforth, the Companies will have to file their disclosures for the Equity Announcements subjects and Financial Results in the same manner as it was available on the NEAPS platform in the month of February 2022.

Further, it is clarified that:

- For outcome of board meeting with only financial results as agenda item - as Quarterly/ Half yearly/ Annual Financial results (PDF file) the Cos. will have to be file only under Quick Results module on NEAPS.

- For outcome of board meeting with multiple agenda item along with financial results - the Cos. will have to file under both Announcement and Quick result module on NEAPS.

- Furthermore, the XBRL submission for the Financial Results will have to be filed under Full Results module on NEAPS.
